Acceptance of Terms
By accessing or using BrutalBill (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and BrutalBill ("we," "our," or "us").
If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree, you must not use the Service.
Service Description
BrutalBill is a cloud-based invoice generation platform that enables users to create, manage, send, and track invoices and contracts. The Service includes:
- Invoice creation with customizable templates and line items.
- Client management and contact organization.
- PDF generation and email delivery of invoices.
- Payment tracking and financial analytics.
- AI-powered features such as pricing advice and item suggestions.
- Contract creation and digital signature collection.
- Online payment portal for your clients.
User Accounts
Registration
To use BrutalBill, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security
You must notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss resulting from unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
Acceptable Use
You agree not to use BrutalBill to:
- Create fraudulent, misleading, or illegal invoices or contracts.
- Violate any applicable laws, regulations, or third-party rights.
- Transmit viruses, malware, or other harmful code.
- Attempt to gain unauthorized access to any part of the Service.
- Use automated systems (bots, scrapers) to access the Service without our permission.
- Interfere with or disrupt the integrity or performance of the Service.
- Impersonate any person or entity or misrepresent your affiliation.
- Use the Service for money laundering, tax evasion, or other financial crimes.
Violation of acceptable use policies may result in immediate account termination and, where applicable, referral to law enforcement.
Your Content & Data
Ownership: You retain full ownership of all content, data, and documents you create or upload to BrutalBill. We do not claim ownership of your invoices, contracts, client data, or any other user-generated content.
License: By uploading content to BrutalBill, you grant us a limited, non-exclusive license to process, store, and transmit this content solely for the purpose of providing the Service to you.
Data Export: You may export your data at any time through the Service. Upon account deletion, we will remove your data per our Privacy Policy retention schedule.
Responsibility: You are solely responsible for the accuracy, legality, and completeness of all content you create within the Service. BrutalBill does not provide legal, tax, or accounting advice.
Subscriptions & Billing
Free Tier
BrutalBill offers a free tier with limited features. Free accounts are subject to usage limits (e.g., number of invoices per month, storage). We reserve the right to modify free tier limits with reasonable notice.
Paid Plans
Paid subscriptions are billed on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are stated in USD and are non-refundable unless otherwise specified.
We may adjust pricing with at least 30 days' advance notice. Price changes will take effect at your next billing cycle.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then. No partial refunds are provided for unused time.
Intellectual Property
The BrutalBill Service, including its design, code, logos, trademarks, and all related intellectual property, are owned by BrutalBill and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our express written consent.
The invoice templates provided within the Service are licensed for your use in generating invoices. You may not redistribute or sell templates separately from the Service.
Limitation of Liability
Important: This section limits our liability. Please read it carefully.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRUTALBILL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Our total cumulative liability for all claims arising from the use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Termination
We reserve the right to suspend or terminate your account at any time if you violate these Terms or for any other reason at our sole discretion. We will make reasonable efforts to notify you prior to termination, except in cases of serious violations.
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive will survive termination, including ownership, warranty disclaimers, limitation of liability, and dispute resolution.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within 30 days of creating your account. Small claims court actions are exempt from arbitration.
Changes to These Terms
We may revise these Terms at any time. We will provide notice of material changes at least 30 days before they take effect by posting the updated Terms on this page and/or by email. Your continued use of the Service after the effective date of any changes constitutes acceptance of the new Terms.
